BYklausuler are contractual provisions used in Danish-language and some Scandinavian contracts to regulate buy-out arrangements within partnerships, joint ventures, and investment deals. They describe the rights and obligations of parties to buy or sell ownership interests, and often appear in shareholder agreements, limited partnership agreements, and sale agreements. The term is commonly understood to cover a family of clauses rather than a single standard form, with content varying by transaction and jurisdiction.

Typical features include triggers for a buy-out (such as deadlock, change of control, breach of material terms, or a fixed term), the party authorized to initiate the buy-out, and the timing and mechanics of the process. A BYklausul usually specifies how the purchase price is determined, which may be a fixed price, a pre-agreed formula, or a method involving third-party valuation. It may also provide for different valuation methods in the event of disagreement, including dispute resolution or escalation procedures.

The clause also addresses practical considerations such as notice requirements, closing conditions, transfer mechanics of shares or interests, financing arrangements, tax implications, and any non-compete or confidentiality obligations related to the buy-out. Enforceability and interpretation depend on applicable law and the drafting of the clause, with attention to clarity, consistency, and commercial reasonableness.
