Vedtægter are formal governing documents that set out the purpose, structure, and rules of an organization. They function as the organization's constitution and form the basis for membership, governance, and operations. Vedtægter are commonly used by associations, cooperatives, foundations, and corporations, and in many jurisdictions they are required to confer legal personality or to regulate status and activities.

A typical set of vedtægter includes several core elements: the organization’s name and registered address, purpose or aims, and duration; rules governing membership (eligibility, admission, suspension, resignation); and the governance framework (types of bodies such as general assemblies or boards, their powers, and decision-making and voting procedures). They also specify financial provisions (budgeting, accounting, audits), and provisions for dissolution, liquidation, or mergers. Some vedtægter address representation of the organization in external matters and the procedure for amending the document itself.

Adoption and amendment of vedtægter generally require a founding or general meeting and a specified majority. In many countries, vedtægter must be registered with a public authority or registrar to obtain legal status and to protect the organization’s name and legal identity.

Vedtægter are distinct from internal bylaws and policies, which provide more detailed rules for daily operations but must align with the vedtægter.
