Siseeeskirjades (internal regulations) are a set of rules that govern the internal functioning of an organization. They codify procedures, conduct, and administrative practices to ensure consistency, transparency, and accountability. Unlike external laws or the organization’s charter, siseeeskirjades bind members and staff in their daily work.

They typically cover the scope and definitions, governance structure and decision‑making processes, roles and responsibilities of board members, managers, and employees, meeting procedures and record‑keeping, financial controls and procurement, and asset management. They also include human resources policies (recruitment, appraisal, disciplinary procedures), information technology and data protection, confidentiality and privacy, code of conduct, harassment and discrimination policies, safety and health rules, conflicts of interest, travel and reimbursement, and procedures for amendments, appeals, and dispute resolution.

Creation and maintenance: they are usually drafted by management or a dedicated committee, reviewed by legal counsel where available, approved by the governing body, and made accessible to members. Amendments follow a formal process with notice and version control. They must comply with applicable laws, the organization’s charter, and contractual obligations.

Enforcement and purpose: internal rules are enforced through documented procedures and may trigger disciplinary actions. They are intended to be clear, proportionate, and regularly reviewed to reflect changes in law, technology, and organizational needs, and to support accountability and operational efficiency.
