Organisationsordnung

Organisationsordnung (organization rules) is a term used in German-speaking organizations to describe the internal set of regulations that govern structure, powers, and procedures within an organization. It provides a framework for how the entity is organized and operates on a day-to-day basis and generally complements formal governing documents such as the statute (Satzung) by detailing practical arrangements, responsibilities, and processes.

Typical contents include the organizational structure (organs such as the board, supervisory body, and committees), the powers and duties of each organ, and rules for appointment, term of office, and resignation. It also covers membership rules, election procedures, term limits, and the rights of members. Procedures for meetings and decision-making are common, including notice periods, agenda, minutes, quorum requirements, voting methods, and mechanisms for procuring decisions in writing. Financial governance is often addressed, including budgeting, accounting, auditing, and reporting. The regulation may also specify disciplinary measures, conflict resolution, and rules for amendments to the Organisationsordnung itself.

Adoption and amendment typically require a vote by the appropriate organ or a general meeting, often with notice and a defined majority. The Organisationsordnung serves to standardize processes, enhance transparency, and ensure continuity, but it must comply with higher-level legal requirements and does not override statutes where conflicts arise.
