Årsstämma

Årsstämma, often translated as Annual General Meeting (AGM), is a mandatory meeting held by Swedish limited liability companies (aktiebolag) and other organizations like housing associations (bostadsrättsföreningar) and economic associations (ekonomiska föreningar). The primary purpose of the årsstämma is to allow shareholders or members to exercise their democratic rights and to address key organizational matters.

During the årsstämma, important decisions are made, including the approval of the annual financial statements, allocation of profits or losses, and the discharge of liability for the board of directors and the CEO. It is also where the board of directors and any auditors are elected or re-elected. The meeting provides a platform for shareholders to ask questions of the board and management.

The timing of the årsstämma is stipulated by law, typically needing to occur within six months of the end of the company's financial year. Notice of the meeting, along with relevant documents such as the annual report and proposals, must be sent out to shareholders within a specified period before the meeting. This ensures that participants have sufficient time to review the materials and prepare for the discussions and decisions. The resolutions passed at the årsstämma are binding on the company and its management.
