Zleceniobiorca

Zleceniobiorca is a person who performs services under a civil-law contract called umowa zlecenia with a zleceniodawca (the ordering party). It is not an employment contract (umowa o pracę) and is regulated primarily by the Civil Code. The arrangement is commonly used for recurring or flexible tasks where personal performance is important.

Key characteristics include that the zleceniobiorca commits to carrying out the specified work with due diligence, typically exercising personal effort. The relationship is not based on full subordination like an employee, but the zleceniodawca may give instructions related to the manner and timing of the task. Personal performance is usually expected, and delegation to others may be limited unless the contract allows it. The zleceniobiorca is usually responsible for arranging his own tools and costs unless the contract states otherwise.

Remuneration is agreed in the contract and may be paid after task completion or periodically. The contract may be terminated by either party with appropriate notice, subject to agreed terms. Rights such as paid annual leave or other employee protections generally do not automatically apply, and benefits depend on the contract and applicable tax and social security rules.

The zleceniobiorca can be a freelancer or a person performing services for a single task or for an ongoing period. The umowa zlecenia is distinct from an employment contract and from a contract for a specific work (umowa o dzieło), reflecting its civil-law nature and flexible, task-oriented character.
