Tarnekokkulepete

Tarnekokkulepete is the Estonian term for delivery agreements, i.e., contracts that govern the delivery of goods from seller to buyer. The word combines tarne (delivery) with kokkulepe (agreement); tarnekokkulepete is the genitive plural form used when referring to multiple such agreements. In English, the term roughly corresponds to "delivery agreements" or "delivery contracts."

Such agreements typically specify the subject matter (goods), quantity and price, the delivery timetable and place, and responsibilities for packaging, labeling, and documentation. They regulate the transfer of risk and, sometimes, the transfer of title, as well as who bears transportation and insurance costs. Clauses about quality conformance, inspection rights, remedies for non-conformity, and procedures for notice and breach are commonly included. For cross-border transactions, parties often tie the terms to established rules such as Incoterms and applicable commercial law.

In Estonia, tarnekokkulepete fall under general contract law, primarily the Law of Obligations Act, and other commercial legislation as applicable. They are commonly used in procurement, logistics, manufacturing, and e-commerce to formalize how goods are delivered, by whom, and at what cost. While the term itself is generic, it functions as a basic building block of trade documents and may be complemented by separate transport or insurance contracts.
