Terms and conditions (TnC), often written as Terms and Conditions or Terms of Service (ToS), are legally binding agreements that govern the relationship between a service provider and its users. They lay out the rules for using a product or service, define user rights and obligations, specify permitted and prohibited conduct, address intellectual property, and limit the provider's liability. A TnC generally covers account creation, payment terms, refunds, service levels, termination rights, and what happens to user data upon termination.

Typical provisions include acceptance of the agreement, user responsibilities, restrictions on copying or reverse engineering, privacy and data handling references, warranty disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and how the terms can be modified. Terms may also outline security practices, service availability, and remedies for breaches, as well as procedures for reporting problems or disputes.

Formation and updates: Users usually accept terms by clicking an 'I agree' button or by continuing to use the service after being notified of changes. Providers may update terms from time to time; depending on the jurisdiction and the service, continued use may constitute acceptance of the updated terms, or users may need to consent again.

Legal enforceability: The enforceability of TnCs varies by jurisdiction and context. For consumer services, terms must be clear, reasonable, and compliant with consumer protection and data privacy laws. Ambiguous or overly broad clauses, hidden terms, or unilateral changes without notice can undermine enforceability.

Related considerations: TnCs often operate alongside a privacy policy, and may include references to product warranties, subscription terms, and regional or industry-specific requirements. Clear, accessible wording and a transparent modification process enhance user trust and legal defensibility.
