Styrevedtaket

Styrevedtaket, in Norwegian, refers to a formal decision issued by the board of directors (styret) of a company, foundation, or other organization. It represents the board’s authoritative position on matters within its remit and typically serves to authorize actions, approve plans, or set directions for management to implement. A styrevedtaket is a central instrument of governance and is usually recorded in the board’s minutes or in a written resolution.

Scope and content commonly covered by a styrevedtaket include strategic directions, annual budgets, major investments or disposals, appointment of senior management, changes to governance documents, and other significant corporate actions. The decision should specify what is approved or rejected, any conditions, the expected implementation path, and, if relevant, the rationale and any dissenting opinions.
