Prisrevisionsklausul, or price revision clause, is a contractual mechanism that allows prices to be adjusted during the term of an agreement in response to changes in defined cost drivers or market prices. It is commonly used in long-term procurement, construction, and service contracts to allocate risk between parties and to preserve contract viability when inflation or input costs deviate from initial assumptions.

Elements typically include a base price, a trigger (such as a published index or other cost driver), a reference index and base date, a predefined calculation rule, and a set frequency for revisions. The clause also specifies notice requirements, payment timing, and whether adjustments are subject to caps or floors. Some clauses grant audit rights to verify data, and may outline dispute resolution procedures.

Calculation is usually based on a formula such as: New price = Base price × (Index at revision date / Index at base date). The index may be a public price index (for example, consumer price index or producer price index) or a bespoke cost index. Caps or floors can limit the extent of adjustment to reduce volatility.

Types range from automatic index-based revisions that apply without renegotiation to cost-based or hybrid revisions that depend on actual observed cost changes. Drafting considerations include selecting transparent and verifiable indices, defining data sources and base dates, specifying revision timing, and ensuring compatibility with applicable law. Clear terms help prevent disputes and provide predictability for both buyer and seller.
