Mantelgesellschaft

Mantelgesellschaft is a German term for a type of holding company that serves mainly as a legal and financial wrapper around one or more operating entities. The word “Mantel” literally means “coat” or “mantle”, reflecting the idea that the holding company encloses its subsidiaries while not being the primary operational unit. In practice, a Mantelgesellschaft holds a majority of the shares in an operating company (the “Mantelobjekt”) and often obtains a majority stake or full ownership of a fund that secures the assets of the operating company. The operating entity, in turn, is sometimes referred to as a “Mantelfeld” – a fund that is held within the mantle of the larger corporate structure.

The primary purpose of a Mantelgesellschaft is to separate the ownership and management of the operating business from its financial risks. By placing the assets in a separate legal entity, creditors of the operating company may not have direct claims on the assets. Additionally, the Mantelgesellschaft can facilitate the bundling of multiple operating units under a common umbrella, simplifying oversight, strategic direction and share transactions. In many cases, the structure is also used for tax optimisation, as the holding company may be located in a jurisdiction with favourable tax regimes, thus allowing loss carrying, dividend taxation, or cross‑border repatriation of profits at a reduced rate.

German corporate law permits the creation of Mantelgesellschafts under specific statutory requirements. The holding company must have a separate balance sheet, and the operation of the subsidiary must be clearly delineated. While the structure can reduce exposure to business risks, it is sometimes criticised for creating opacity and potentially enabling the avoidance of local tax obligations. Critics argue that extensive use of Mantelgesellschafts can complicate regulatory oversight and facilitate unlawful tax planning. Recent regulatory scrutiny in the European Union has prompted stricter disclosure requirements for holding companies that employ this structure.
