Mantelgesellschaft is a German term for a type of holding company that serves mainly as a legal and financial wrapper around one or more operating entities. The word “Mantel” literally means “coat” or “mantle”, reflecting the idea that the holding company encloses its subsidiaries while not being the primary operational unit. In practice, a Mantelgesellschaft holds a majority of the shares in an operating company (the “Mantelobjekt”) and often obtains a majority stake or full ownership of a fund that secures the assets of the operating company. The operating entity, in turn, is sometimes referred to as a “Mantelfeld” – a fund that is held within the mantle of the larger corporate structure.
