Coinvesting is a practice where multiple investors contribute capital to a single investment opportunity. This can occur in various contexts, from private equity and venture capital deals to real estate and even public market syndications. The primary motivation behind coinvesting is to pool resources, allowing investors to access larger or more attractive deals that might otherwise be out of reach for an individual investor.

In a typical coinvesting scenario, a lead investor or fund manager takes the initiative to identify and negotiate the terms of an investment. Once the deal is structured, other investors, known as coinvestors, are invited to participate. These coinvestors then contribute a portion of the required capital alongside the lead investor. The lead investor often takes on a more active role in managing the investment, overseeing due diligence, and executing the investment strategy.

Coinvesting offers several advantages. For coinvestors, it provides access to deals they might not otherwise see or have the expertise to pursue independently. It also allows for diversification of their investment portfolio with smaller allocations to multiple deals. For the lead investor, coinvesting can help them deploy larger amounts of capital more efficiently and share the workload and risk associated with deal sourcing and management.

However, coinvesting also has potential drawbacks. Coinvestors must rely on the expertise and judgment of the lead investor, and their returns are directly tied to the lead's performance. There can also be alignment of interest issues if the lead investor's incentives are not perfectly aligned with those of the coinvestors. Clear agreements outlining responsibilities, fees, and exit strategies are crucial to a successful coinvesting arrangement.
