Common stockbased instruments include stock options, restricted stock units (RSUs) and restricted stock, employee stock purchase plans, and phantom stock. Stock options give the right to buy shares at a fixed price in the future, while RSUs and restricted stock represent actual ownership that vests over time or upon performance goals. Employee stock purchase plans allow employees to buy company shares at a discount. Phantom stock provides a cash or stock equivalent without issuing actual shares, preserving dilution control.

Accounting and valuation: In many jurisdictions, stockbased compensation is recognized as an expense over the vesting period, based on the grant-date fair value of the awards. In the United States, this is governed largely by ASC 718; IFRS has a comparable framework under IFRS 2. Valuation often employs models such as Black-Scholes or lattice methods for options, while RSUs are valued at the market price on the grant date. Dilution occurs when new shares are issued or options are exercised, impacting existing shareholders.

Taxation and regulation: Tax treatment varies by country. Generally, grants may be taxed at grant, vesting, or exercise, with distinctions between incentive stock options and non-qualified options in some jurisdictions. With RSUs, ordinary income tax commonly arises at vesting. Companies must also consider governance, disclosure, and compliance requirements related to stockbased plans.
