Yrityslagat

Yrityslagat is a term used in some Nordic languages to refer to the body of laws that regulate business entities, such as corporations, limited liability companies, and partnerships. The exact statutes vary by country, but the concept corresponds to what is commonly called corporate law or company law in many jurisdictions. In Finland, terms like yrityslaki or yhtiöoikeus are used; in Sweden, aktiebolagslagen is the principal company law, while Norway has similar provisions under selskapsrett.

Core elements typically cover the formation and registration of companies, the types of entities that may be created, and requirements such as minimum capital and ongoing obligations. They define governance structures, including the duties and powers of directors and officers, and the rights and protections afforded to shareholders, including minority protections and procedures for meetings and voting.

Financial matters are regulated through accounting and disclosure requirements, auditing, annual reports, and eligibility to issue shares or debt. The law also governs corporate transactions, such as capital increases, restructurings, mergers and acquisitions, as well as the processes for insolvency and dissolution and the priority of creditors.

National differences mean that procedures and protections vary, but the overarching aim is to create predictable rules for business formation, monitor corporate conduct, safeguard investors and creditors, and promote fair competition. The field has evolved with reforms addressing transparency, accountability, and risk management in response to financial crises and market developments.
