Töövõtulepingud

Töövõtulepingud, known in English as works contracts or contracts for work, are a significant legal framework in Estonian contract law. These agreements govern the relationship between a client (tellija) and a contractor (töövõtja) where the contractor undertakes to produce a specific result for the client. This result can be the creation of a tangible item, the performance of a service, or the completion of a construction project. The core of a töövõtuleping is the obligation to achieve a defined outcome, rather than simply providing labor.

Key elements of a töövõtuleping include a clear definition of the work to be performed, the agreed-upon price, and the deadline for completion. The contractor is responsible for organizing the work and using their own means and resources. The client, in turn, is obligated to accept the completed work and pay the agreed price. The Estonian Law of Obligations Act provides the foundational rules for these contracts, outlining the rights and responsibilities of both parties. This includes provisions on defects in the work, the right to withdraw from the contract under certain circumstances, and liability for damages.

Töövõtulepingud are distinct from employment contracts (töölepingud). In employment contracts, the employee works under the direction and control of the employer and is integrated into the employer's organization, whereas a contractor operates independently. This distinction is crucial for tax, social security, and legal protections. The specific nature of the "result" in a töövõtuleping can vary widely, encompassing everything from software development to building a house, making it a versatile legal instrument for various economic activities.
