Sisäpiirikaupasta

Sisäpiirikauppa refers to the buying or selling of a company's stock or other securities by individuals who possess non-public, material information about the company. This information, if made public, would likely affect the price of the security. Such information is often related to upcoming earnings reports, mergers and acquisitions, new product launches, or significant management changes. The term originates from "sisäpiiri," meaning insider.

The core principle of insider trading regulations is to maintain fair and transparent capital markets. When individuals trade based on privileged information, it creates an uneven playing field, disadvantaging ordinary investors who do not have access to the same insights. This can erode public trust in the stock market and discourage investment.

In most jurisdictions, including Finland, insider trading is illegal. Regulatory bodies, such as the Finnish Financial Supervisory Authority (Finanssivalvonta), monitor trading activity for suspicious patterns. Individuals found guilty of insider trading can face severe penalties, including substantial fines and imprisonment. The definition of an insider can extend beyond company employees to include individuals with temporary access to such information, like lawyers, accountants, or even family members. The key factor is the possession and use of non-public, price-sensitive information.
