OEMProgramme

OEMProgramme, sometimes written as OEM Programme, is a formal framework through which a company (the originator) licenses or permits external manufacturers (OEMs) to produce components or finished products using the originator's designs, technology, or branding. The arrangement aims to extend production capacity and market reach while preserving brand integrity and technical standards.

The programme typically covers licensing of intellectual property, access to specifications, quality assurance requirements, conformity testing, packaging and labeling guidelines, and terms on warranty and after-sales support, as well as pricing, incentives, and minimum order quantities. It defines how products are manufactured, tested, and resourced to meet defined quality levels and regulatory obligations.

Governance under the OEMProgramme includes IP protection, confidentiality, liability, audit rights, termination, and compliance with regulatory and ethical standards. Agreements set expectations for performance, quality control, and consequences for non-compliance, helping to manage brand risk across the supplier network.

Eligibility and process usually involve an application, due diligence, IP clearance, facility audits, capability assessments, pilot production, and a master agreement. The programme often requires ongoing performance reviews, periodic audits, and updates to specifications or packaging.

The OEMProgramme is distinct from original design manufacturing (ODM), where the partner handles product design, and from private-label arrangements, which emphasize branding rather than licensing or design rights. Industries that commonly use OEM programmes include electronics, automotive components, consumer devices, and medical equipment, where manufacturers leverage external production while maintaining branding and support.
