Management buyouts (MBOs) are a form of corporate acquisition in which the existing management team purchases a substantial or controlling stake in the company from the current owners. The objective is to take ownership and control of the business, often with outside financing and, in some cases, involvement by a private equity sponsor.

Process and structure typically involve evaluating the business, agreeing on a valuation, and assembling a deal team. Financing is usually a mix of senior bank debt, mezzanine or other subordinated financing, and equity contributed by the managers. A private equity sponsor may provide capital or act as a co-investor. Seller financing or earn-outs are common to bridge valuation gaps and align interests during the transition.

Motivations for parties vary. For owners, an MBO can provide a smoother exit while preserving business continuity and culture. For managers, ownership offers potential upside and greater strategic influence. MBOs are often used in succession planning, strategic realignments, or corporate restructurings where continuity is preferred.

Governance and risks are important considerations post-transaction. The post-MBO company typically undergoes governance changes, with new or revised boards and management incentives. Risks include high leverage and debt service obligations, integration or execution challenges, and potential conflicts among stakeholders if performance falls short of expectations.

Variants include management buy-ins (MBIs), where new managers join to acquire the business. MBOs are commonly contrasted with leveraged buyouts (LBOs) conducted by external sponsors, though financing structures can resemble LBOs.
