Finansmarkedsregler

Finansmarkedsregler are the laws, regulations, and guidelines that govern financial markets in Norway and, through the EEA framework, many cross-border activities. They cover证券 markets, investment services, banks, asset managers, and market infrastructures such as trading venues and clearing systems. The overarching aim is to ensure market integrity, investor protection, transparency, and financial stability.

The regulatory framework is primarily implemented and supervised by the Financial Supervisory Authority of Norway (Finanstilsynet), in cooperation with other authorities such as Norges Bank for payment and stability issues. The Norwegian authorities regulate licensing, conduct of business, prudential requirements, disclosure, and corporate governance. Central market infrastructure, including the central securities depository Verdipapirsentralen (VPS) and trading venues like Oslo Børs, operate under these rules and related oversight. National legislation is complemented by EU-derived regulations adopted through the EØS agreement, including MiFID II, MAR (Market Abuse Regulation), EMIR, UCITS, and AIFMD, which shape trading, market conduct, investor protection, and post-trade processes.

Key areas covered by finansmarkedsregler include licensing of financial institutions, suitability and conduct obligations for financial service providers, disclosure requirements for issuers, and rules governing market manipulation, insider dealing, and other forms of market abuse. They also regulate information disclosure, significant holdings, annual and interim reporting, and post-trade settlement and clearing procedures. Enforcement powers, sanctions, and supervisory cooperation with European authorities support compliance and promote orderly, transparent markets. The regime is designed to facilitate efficient capital markets while protecting investors and maintaining systemic stability.
