Anfechtungserklärungen

Anfechtungserklärungen, in German civil law, refer to the formal declarations made by a party to annul a legal transaction due to invalidating grounds. These declarations are governed primarily by the German Civil Code (*Bürgerliches Gesetzbuch*, BGB), particularly under Sections 119 to 144, which outline the circumstances under which contracts or other legal acts may be voidable.

An Anfechtungserklärung is typically issued when a contract is affected by vices of consent, such as error (*Irrtum*), duress (*Druck*), or fraud (*Täuschung*). For instance, if one party enters into a contract under a material mistake about a crucial fact, they may have the right to annul the agreement by issuing an Anfechtungserklärung. Similarly, if consent was obtained through coercion or deception, the affected party may also seek annulment.

The declaration must be made within a specified timeframe, generally two years from the discovery of the invalidating circumstance, though certain exceptions may apply. It must be clear, unambiguous, and communicated to the other party, either directly or through a legally recognized intermediary. Once properly issued, the contract is retroactively void from its inception, meaning all parties are restored to their original positions as if the contract had never existed.

Anfechtungserklärungen are distinct from ordinary rescissions, as they address fundamental flaws in the formation of the contract rather than mere breaches of contractual obligations. Courts may intervene if disputes arise regarding the validity of the declaration or the existence of invalidating grounds. Proper documentation and adherence to procedural requirements are essential to ensure the effectiveness of the annulment.
