årsmöte

An årsmöte is the annual general meeting of a Swedish non-profit association, ekonomisk förening, förening, stiftelse or similar member-based organization. It is the main formal assembly where members review the past year’s activities, approve the financial statements, and determine the direction and governance for the coming year. In the context of an aktiebolag, the equivalent term is usually årsstämma.

The meeting is typically held once a year, on a date set in the organization’s statutes. Notice of the meeting (kallelse) must be given to members in accordance with the bylaws, and the meeting is usually presided over by an elected chairperson with minutes kept by a designated secretary. A quorum is often required for decisions to be valid, and members may participate in person or by proxy depending on the statutes.

Common agenda items include the approval of the annual report and financial statements, the disposition of profits or covering of losses, and the discharge from liability for the board and managing officers. The meeting may also elect or reappoint board members and auditors, set or approve remuneration for board work, and decide on major policy or bylaw amendments. Some organizations appoint a nomination or election committee (valberedning) to present candidates for positions.

Decisions are typically made by majority vote, though certain matters—such as amendments to statutes or substantial changes in organization goals—may require a higher threshold, such as a two-thirds majority or even unanimity as prescribed by the bylaws. Minutes are the official record of decisions and actions taken.
