Key participants are the guarantor (takaaja), the debtor (velallinen) and the creditor (kreditori). The guarantee is a contractual instrument, and the guarantor’s duty is usually secondary to the debtor’s obligation: the creditor must generally seek performance from the debtor before invoking the guarantee, unless the agreement states otherwise.

Contents of a takaussitoumus commonly include the maximum amount covered, the duration of the guarantee, and the scope of the obligation (for example, monetary debts, performance obligations, or bid or performance bonds). Guarantees are frequently used in banking and finance, as well as in leases, supplier contracts, and public procurement, to enhance the borrower’s or bidder’s credit standing.

Rights and risks: for the guarantor, the arrangement creates a potential financial liability; for the creditor, it provides security that the obligation will be met. If the guarantor pays under the guarantee, they generally acquire a right of recourse against the debtor (subrogation) to recover the amount paid. A takaussitoumus ends when the guaranteed obligation is discharged or the contract expires, unless otherwise stated in the instrument.
