The licentienemer does not own the underlying rights; ownership remains with the licentiegever, while the license permits specific use under agreed terms.

The scope and conditions of the license are defined in the license agreement. Licentienemers may hold exclusive or non-exclusive rights, and the license can be limited by territory, field of use, and duration. The agreement may require the licentienemer to pay royalties or license fees and to comply with quality controls, reporting obligations, and confidentiality. Sublicensing is possible only if the license explicitly allows it, and often requires the licentiegever’s consent.

Obligations of the licentienemer typically include adhering to the permitted uses, maintaining the integrity of the IP or brand, and avoiding actions that could jeopardize the licensor’s rights. Upon termination or expiration of the license, the licentienemer must cease usage of the licensed rights and may be required to return confidential materials or destroy copies.
