Ettevõttetüüpi refers to the legal form or type of a business entity in Estonia. Understanding the ettevõttetüüpi is crucial for anyone establishing or operating a business in Estonia, as it determines liability, taxation, management, and reporting requirements.

The most common ettevõttetüüp is the osaühing (OÜ), which is a private limited company. In an OÜ, the liability of the shareholders is limited to their capital contributions. It is a popular choice for small and medium-sized enterprises due to its relatively straightforward setup and management.

Another significant ettevõttetüüpi is the aktsiaselts (AS), or a public limited company. An AS is typically used for larger businesses, often those that intend to raise capital through public offerings. Shareholders' liability is also limited, but AS entities have more stringent reporting and governance requirements compared to OÜs.

Sole proprietorships are represented by the füüsilisest isikust ettevõtja (FIE). In this case, the individual entrepreneur is personally liable for all business debts and obligations. This form is simpler to establish and manage but carries unlimited personal risk.

Partnerships also exist, such as the täisühing (TÜ), a general partnership, and usaldusühing (ULÜ), a limited partnership. In a TÜ, all partners are jointly and severally liable for the partnership's debts. In an ULÜ, there are general partners with unlimited liability and limited partners whose liability is restricted to their contribution.

The choice of ettevõttetüüpi impacts the legal framework within which a business operates, influencing its administrative burdens, financial obligations, and the level of risk undertaken by its owners. It is essential to select the most appropriate form based on the business's scale, objectives, and risk tolerance.
