Rechtsgeschäften

Rechtsgeschäften, a term originating from German legal terminology, refers to a legal transaction or act that creates, modifies, or extinguishes legal rights and obligations. It is a fundamental concept in civil law systems, underpinning much of private law. At its core, a Rechtsgeschäft is characterized by the expression of a will that is intended to have legal consequences. This expression of will can take various forms, such as declarations of intent (Willenserklärungen).

A key element of a Rechtsgeschäft is that the parties involved must have the legal capacity to undertake such transactions. This typically means they must be of sound mind and of legal age. The validity of a Rechtsgeschäft can be affected by various factors, including the presence of consent, the absence of duress or fraud, and compliance with any legal formalities that may be required for specific types of transactions. For instance, the sale of real estate usually requires a written contract and notarization.

Rechtsgeschäften can be broadly categorized. Unilateral Rechtsgeschäften, like making a will, only require the declaration of intent from one party. Bilateral Rechtsgeschäften, such as contracts, require the agreement and mutual declarations of intent from at least two parties. The concept is crucial for understanding how individuals and entities engage in legally binding activities, from simple purchases to complex business agreements, and forms the bedrock of private autonomy within legal frameworks.
