Päävuokraus

Päävuokraus, often translated as prime lease or headlease, refers to the primary rental agreement between a property owner and a tenant. This tenant, known as the headlessee or sublessor, then leases out portions of the property to other parties, the sublessees. In essence, the headlessee acts as a landlord to the sublessees while remaining a tenant to the original property owner.

This arrangement is common in commercial real estate, particularly for large office buildings, retail spaces, or industrial facilities. A business might take out a päävuokraus on an entire building and then sub-lease individual floors or units to other companies. This allows the headlessee to manage the property, collect rent from sublessees, and potentially profit from the difference between the headlease rent and the sum of the sublease rents.

Key aspects of a päävuokraus agreement include the duration of the lease, the rent payable by the headlessee to the owner, and any restrictions on subletting. The headlessee is typically responsible for fulfilling the terms of the original lease, including property maintenance and insurance, even while sub-leasing. Sublessees are bound by the terms of their sublease agreement with the headlessee, and indirectly by the terms of the original headlease. The original property owner usually has no direct contractual relationship with the sublessees.
