Kommanditists

A Kommanditist, often referred to as a limited partner, is an individual or entity that invests capital in a Kommanditgesellschaft (KG), a type of business partnership recognized in civil law jurisdictions, particularly in Germany and Austria. The defining characteristic of a Kommanditist is their limited liability for the debts and obligations of the partnership. Their financial exposure is typically capped at the amount of capital they have contributed to the KG.

In contrast to the general partners (Komplementäre) who manage the business and bear unlimited liability, Kommanditists are passive investors. They do not participate in the day-to-day management or operational decisions of the partnership. Their involvement is generally limited to providing capital and, in some cases, having certain rights to information or to approve major decisions as stipulated in the partnership agreement. The specific rights and obligations of a Kommanditist are governed by the partnership agreement and relevant commercial law. The concept of the Kommanditist is designed to attract investment capital while protecting investors from excessive financial risk.
