Kommanditist

A Kommanditist, often translated as a limited partner, is a type of partner in a Kommanditgesellschaft (KG), a German business structure. This entity is a form of partnership with at least one general partner (Komplementär) and at least one limited partner (Kommanditist). The Kommanditist's liability for the debts of the partnership is limited to the amount of their capital contribution, which is registered in the commercial register.

Unlike a general partner, a Kommanditist typically has no management responsibilities and is not involved in the day-to-day operations of the business. Their role is primarily that of an investor, providing capital to the partnership in exchange for a share of the profits. The extent of their profit share is determined by the partnership agreement.

The limited liability of a Kommanditist is a key feature, distinguishing them from general partners who have unlimited personal liability. This feature makes the KG structure attractive for attracting passive investors who wish to contribute capital without exposing their personal assets to business risks. The specific rights and obligations of a Kommanditist, beyond their limited liability and profit share, are also defined by the partnership agreement and relevant German commercial law.
