Kehyssopimus

Kehyssopimus (framework agreement) is a long-term contract between a purchaser and one or more suppliers that sets the terms and conditions for future purchases over a defined period. It does not commit the buyer to purchase a fixed quantity, but provides a ready-made framework for ordering.

Purpose and scope: The agreement covers categories of goods or services and defines key terms such as specifications, delivery, quality standards, and price mechanisms. It provides a predictable procurement path for recurrent needs and reduces the need for repeatedly negotiating new contracts.

Structure and terms: A kehyssopimus typically includes the scope of supply, pricing framework (fixed prices, discounts, or price indices), minimum and maximum quantities, service levels, delivery terms, acceptance criteria, and performance monitoring. It also sets contract duration, renewal options, and termination rules. Changes to terms or scope may require amendments or supplementary agreements.

Ordering process: Individual orders, or call-offs, are issued within the framework. Suppliers under the framework comply with pre-agreed terms when fulfilling each call-off. Competition can take place at the framework stage, and selection for a specific order is based on predefined criteria and available suppliers.

Applications and considerations: Framework agreements are common in public procurement, IT services, facilities management, and other areas with recurring needs. Advantages include faster procurement, standardized terms, and potential volume discounts. Drawbacks can include reduced price competition on each call-off and the risk of supplier lock-in, necessitating ongoing governance and monitoring. In Finland and the EU, such instruments are recognized tools under procurement rules and are often referred to as kehysopimus or puitesopimus.
