Haftungsumgehung refers to a legal concept in German law concerning the avoidance or circumvention of liability. It describes situations where a party attempts to escape responsibility for their actions or omissions, particularly in contractual or tortious contexts. This can manifest in various ways, such as structuring agreements to shift risk, using intermediaries to distance oneself from a harmful act, or exploiting loopholes in existing laws.

The core principle behind Haftungsumgehung is that parties should not be able to arbitrarily escape legal duties or consequences that arise from their conduct. German courts scrutinize such attempts closely, particularly if they are deemed to violate principles of good faith (Treu und Glauben) or public policy. A common area where Haftungsumgehung is relevant is in employment law, where employers might try to avoid statutory obligations towards employees through complex contractual arrangements. Another example can be found in corporate law, where the separation of legal entities is sometimes used to shield a parent company from the liabilities of a subsidiary.

However, not every attempt to limit or reallocate liability is considered illegal circumvention. Legitimate contractual risk allocation, where parties knowingly accept certain risks as part of a commercial transaction, is generally permissible. The key distinction lies in whether the circumvention is considered abusive or against the spirit and purpose of the law. Courts will examine the intent of the parties and the overall effect of the arrangement to determine if Haftungsumgehung has occurred.
