Arvopaperitarjous

Arvopaperitarjous, often translated as a securities offering, is a process by which a company or government entity issues new securities to raise capital. These securities can take various forms, including stocks (equities) or bonds (debt). The primary goal of an arvopaperitarjous is to obtain funding for expansion, debt repayment, or other business objectives.

There are several types of arvopaperitarjoukset. An initial public offering, or IPO, is when a private company first sells shares of stock to the public, becoming a publicly traded entity. Subsequent offerings by already public companies are known as seasoned equity offerings. Debt offerings, or bond issues, involve the sale of debt instruments to investors, who then become creditors of the issuer.

The process of an arvopaperitarjous typically involves several stages. The issuer works with investment banks, which act as underwriters, to prepare the necessary documentation, such as a prospectus, which details the offering and the issuer's financial health. The underwriters then market the securities to potential investors. The securities are then sold at a predetermined price, and the issuer receives the capital raised, minus underwriting fees.

In Finland, for example, the Financial Supervisory Authority (Finanssivalvonta) plays a role in overseeing these offerings.
