Päävuokraus, often translated as principal lease or master lease, refers to a primary contractual agreement in a property or asset leasing arrangement. In a päävuokraus, a party, typically the owner or a developer, leases a property or asset to another party, the päävuokraaja (principal lessee). This principal lessee then has the right to further lease or sublease portions or all of the asset to other tenants.

The päävuokraaja essentially acts as an intermediary, taking on the responsibility of managing the entire leased property or asset and then subletting it. This model is common in commercial real estate, where a large investor might take a master lease on an office building and then sublease individual office spaces to various businesses. Similarly, it can be applied to other assets like fleets of vehicles or equipment.

The päävuokraus agreement outlines the terms and conditions between the owner and the principal lessee, including rent, duration, responsibilities for maintenance, and any restrictions on subletting. The principal lessee, in turn, negotiates separate sublease agreements with subtenants. This structure can offer benefits to property owners by simplifying management and to principal lessees by allowing them to profit from the difference between the master lease rent and the sublease rents. It requires careful contract negotiation to define the rights and obligations of all parties involved.
