An investee is a company or entity in which another company, the investor, holds an investment. The investee receives capital or other resources from the investor and may be private or public, a startup, or another corporate entity. The term is common in corporate finance and accounting to describe the counterparty in an investment relationship.

In financial reporting, the investor–investee relationship determines how the investment is accounted for. If the investor controls the investee, the investee is a subsidiary and its financial statements are consolidated with the investor’s. If the investor has significant influence but not control, the investee is often accounted for using the equity method as an associate. If neither applies, the investment is usually measured at fair value with changes recognized in earnings or other comprehensive income, depending on the instrument.

Examples illustrate the range: a venture capital firm acquiring a minority stake in a startup has an investee; a parent company with a majority stake treats the child as a subsidiary; a passive minority stake may be a non-controlling investee.

An investee’s performance and governance can affect the investor’s returns, while the investor’s capital and input may influence the investee’s operations. Rights such as board seats or veto powers typically accompany higher levels of influence.
