A henkilöyhtiö is a type of business partnership in Finnish company law. It translates to a general partnership or a limited partnership. There are two main forms: avoin yhtiö (general partnership) and kommandiittiyhtiö (limited partnership).

In an avoin yhtiö, all partners are personally liable for the company's debts and obligations. This means their personal assets can be used to cover business liabilities. Partners typically manage the company together.

A kommandiittiyhtiö has two types of partners: general partners (vastuunalainen yhtiömies) and limited partners (komplementtiyhtiömies). General partners have unlimited personal liability, similar to partners in an avoin yhtiö, and are usually responsible for the management. Limited partners' liability is limited to the amount of capital they have contributed to the company, and they generally do not participate in the management.

Both avoin yhtiö and kommandiittiyhtiö are relatively simple to establish compared to corporations. They require a partnership agreement and registration in the Finnish Trade Register. Profits and losses are typically passed through to the partners and taxed at their individual income tax rates. These structures are often chosen by smaller businesses or businesses where the partners have a high degree of trust and are willing to share both the risks and rewards.
