henkilöyhtiö

Henkilöyhtiö is a Finnish term referring to a type of business entity where the liability of the owners is not limited. This is in contrast to osakeyhtiö (limited liability company). The most common forms of henkilöyhtiö in Finland are avoin yhtiö (general partnership) and kommandiittiyhtiö (limited partnership).

In an avoin yhtiö, all partners are jointly and severally liable for the company's debts, meaning their personal assets can be used to cover business obligations. A kommandiittiyhtiö has at least one general partner (vastuunalainen yhtiömies) with unlimited liability, and at least one limited partner (komppaniittiyhtiömies) whose liability is limited to the amount they have invested in the company.

Henkilöyhtiöt are often chosen by smaller businesses or those where the owners want a simpler organizational structure and direct involvement in management. The formation process is typically less complex than for limited liability companies. However, the unlimited liability aspect requires careful consideration by the owners regarding financial risks. The profits and losses of a henkilöyhtiö are usually attributed directly to the individual partners for tax purposes.
