Functionalholding refers to a corporate structure in which a holding entity coordinates and manages core business functions across a network of operating companies, rather than simply owning shares in separate businesses. In this model, the emphasis is on function-specific governance, such as finance, human resources, information technology, procurement, and legal services, which are centralized in one or more service entities that supply the subsidiaries under service agreements.

A functional holding may sit above multiple operating units and may own their shares or own the centralized services provider. Governance typically uses service-level agreements, internal transfer pricing, and centralized policies to ensure consistency while preserving the autonomy of individual subsidiaries in markets and day-to-day decision-making. Shared services and internal cost allocation are common features.

The structure aims to achieve economies of scale, standardized processes, faster implementation of strategic initiatives, improved risk and compliance management, and more agile capital allocation. It can also facilitate spin-offs or rapid reorganization by decoupling functional management from equity ownership.

Critics note potential drawbacks, such as added bureaucracy, distance from local market realities, higher overhead from running centralized services, and complexities in transfer pricing and regulatory compliance. The term is not universally defined and may be used variably, with some observers equating it to centralized shared-services arrangements within a holding group or to arrangements for function-based rather than asset-based control.

In practice, the adoption of a functional-holding approach depends on regulatory context, tax rules, and the specific strategic goals of the multinational group.
