Felszámolásra, often translated as liquidation or winding up, refers to the legal process of terminating a company or other legal entity. This process involves selling off the entity's assets, paying off its debts and liabilities, and then distributing any remaining funds to its owners or shareholders. The primary goal of felszámolásra is to bring an orderly end to a business's existence.

There are generally two main types of liquidation: voluntary and compulsory. Voluntary liquidation occurs when the owners or shareholders of a company decide to dissolve it. This can happen for various reasons, such as the business no longer being profitable, the owners wishing to retire, or a merger or acquisition. Compulsory liquidation, on the other hand, is initiated by a court order, often at the request of creditors who have not been paid, or by regulatory bodies if the company has violated laws.

During the felszámolásra process, a liquidator is appointed. This individual is responsible for managing the winding-up, including inventorying assets, marketing and selling them, settling debts with creditors according to legal priority, and preparing final accounts. If there are insufficient assets to cover all debts, the entity is declared insolvent. Any surplus remaining after all debts are paid is then distributed to shareholders in proportion to their ownership. The completion of the felszámolásra process formally dissolves the legal entity.
