Sündmusetingimustel

Sündmusetingimustel refers to a legal concept primarily found in Estonian contract law, relating to events that must occur or not occur for a contractual obligation to become effective or to be terminated. It is a crucial element in defining the enforceability and duration of various agreements.

These conditions can be broadly categorized into two types: suspensive conditions (alatingimused) and resolutive conditions (lõpetamistingimused). A suspensive condition is an event that must take place before a contract's obligations become binding. For example, a contract for the sale of a property might be made subject to the buyer obtaining financing. Until the financing is secured, the contract is not fully effective.

A resolutive condition, on the other hand, is an event that, if it occurs, terminates an existing contractual obligation. For instance, a lease agreement could stipulate that it automatically ends if the tenant's employment in a particular city is terminated. The occurrence of this event would release both parties from their future contractual duties.

The purpose of sündmusetingimustel is to provide flexibility and certainty in contractual relationships, allowing parties to allocate risks and adapt to future uncertainties. The conditions must be objectively ascertainable, not dependent on the will of either party, and not illegal or contrary to public order. Failure to meet these criteria can render the condition invalid, potentially affecting the entire contract. The interpretation and application of these conditions are often subject to judicial review.
