Samriskbolag

Samriskbolag is a Swedish term referring to a corporate arrangement in which two or more parties commit capital and share risks and rewards in a specific venture. The arrangement is typically realized as a joint venture or as a separate vehicle created for a particular project. The exact form is determined by the participants and the applicable Swedish corporate and contract law.

The liability and governance of a samriskbolag depend on its legal form. If the venture is established as an aktiebolag (AB), liability is normally limited to the contributed capital and the shareholders' liability is limited. In other forms, such as a kommanditbolag (KB) or other partnerships, some participants may have broader or unlimited liability according to the partnership agreement. The venture is usually governed by a joint venture agreement or shareholders’ agreement that specifies governance rules, voting rights, and decision-making procedures.

Structure and operation are typically arranged so that each participant contributes resources, expertise, or capital in return for a stake in the venture and a defined share of profits and risks. A board or management team representing the participants is often established, with outlined mechanisms for profit distribution, risk sharing, and exit or dissolution if the project ends or underperformance occurs.

Common uses for samriskbolag include infrastructure and energy projects, real estate developments, technology and research collaborations, and cross-border or industry-wide initiatives where shared resources and risk can enable otherwise impractical ventures.
