Müügilepingus

Müügilepingus refers to a fundamental concept in Estonian law, specifically in the field of sales. As per the definition under the Estonian Code of Commerce, a sales contract, also known as a müügilepingus, is a written or oral agreement between two parties where one party, often referred to as the seller or müügitöötleja, transfers the ownership of goods to another party, referred to as the buyer or ostüksus.

This type of contract is a valid and enforceable agreement, outlining the terms and conditions under which the goods will be transferred, including the price, payment terms, and any other necessary details. The contracting parties can agree on the terms of the contract either explicitly or by implied mutual understanding. In the absence of explicit mutual understanding, the principles of good faith will be applicable.

In Estonia, the sale of goods is a regulated area, and contracts must comply with the Estonian law governing sales. When interpreting the müügilepingus contract, particularly in cases of disputes, courts apply the excitement of transactions and the expressiveness of writing to establish the intent and obligations between the parties. However, changes in relevant directives, regulations or agreements which contract provisions of which apply to either or both of the contracting companies might clarify interpretation after time defenses.
