kommandite
A Kommandite is a type of business entity that exists in several European countries, notably Germany, Austria, and Switzerland. It is a form of partnership with two distinct classes of partners: general partners (Komplementäre) and limited partners (Kommanditisten). The Komplementär, or general partner, bears unlimited liability for the debts and obligations of the company. This means their personal assets are at risk. In contrast, the Kommanditist, or limited partner, has their liability restricted to the amount of capital they have contributed to the partnership. They are not involved in the day-to-day management of the business.
The Kommandite is established through a partnership agreement and often requires registration in a commercial register.
