Emitentas is the term used in Romanian to designate the issuer of financial instruments. In English, the equivalent term is issuer or issuing entity. An emitenta is the entity that creates and sells securities such as stocks or bonds to investors to raise capital. The issuer is responsible for the terms of the security, including coupon payments or dividends, maturity, redemption options, and any covenants attached to the issue. It also handles communications with investors and the regulatory framework governing the issue.

In the primary market, an emitenta offers new securities to investors, often with the help of underwriters, and the proceeds are used to fund operations, growth, or public projects. After issuance, the securities may be traded on secondary markets, where prices respond to changes in the issuer’s creditworthiness, market conditions, and interest rates. Issuers can be corporations, governments, municipalities, or other entities such as supranational organizations.

Types of emitentes vary by instrument. Corporate emitentes issue equity or debt securities to raise capital for expansion or refinancing. Government and municipal emitentes issue sovereign or local bonds to finance public spending and infrastructure.

Regulatory framework requires issuers to prepare offering documents or prospectuses, register with the competent securities regulator, and comply with ongoing disclosure obligations. In different jurisdictions these duties are overseen by authorities such as ESMA in the European Union and national regulators (e.g., ASF in Romania). Ongoing reporting, financial disclosures, and material event notices are common requirements.

Risks for investors depend on the issuer’s credit quality and financial health. Credit ratings and market perceptions of the issuer influence yield, liquidity, and the likelihood of default or early repayment.
