aðskildur

Aðskildur, also known as aðskildunarfélag or Icelandic limited company, is a type of business entity in the Republic of Iceland. It is a limited liability company that provides its members with limited personal liability. The Aðskildur is often seen as an alternative to partnerships and individual traders.

To establish an Aðskildur, one or more natural persons must register with the Icelandic Register of Enterprises. The founders must deliver articles of association to the register, which must include the company's name, share capital, and number of shares. The company's name must contain the words "aðskildu félags" (meaning "limited company") or "ak. (meaning "aðskildu félagskerfið" (meaning "(limited company) system"). The share capital of an Aðskildur is determined by the founders, and must be divided into a specific number of shares.

Membership in an Aðskildur is possible for natural and/or juridical persons. Shareholders are not liable for the company's debts beyond the value of their shares. Aðskildur companies are subject to corporate income tax and the value added tax in Iceland.

Some of the key features of an Aðskildur include flexibility in terms of number and nationality of shareholders, limited liability of members, freedom to issue negotiable securities such as bonds, and an independent legal personality. The management of an Aðskildur is primarily conducted by its board of directors.

In terms of dissolution, an Aðskildur can be dissolved in a general meeting of shareholders by passing a resolution to do so. After dissolution, the company's remaining assets are distributed among the shareholders according to their proportions of ownership.
