Adendas are documents added to an existing contract, agreement, standard, or publication to add, modify, or clarify its content. The term is used in several languages, notably Portuguese and Spanish, and corresponds to the English terms addendum or addenda. An adenda usually references the original document and becomes part of it once executed by the parties.

In contracts, addendas can introduce new terms, expand the scope of work, adjust timelines, revise pricing, or incorporate technical specifications and schedules. They are typically drafted as separate documents, numbered or titled, and must be signed or otherwise agreed by authorized representatives. They should clearly identify the original agreement and the specific provisions affected.

Distinction from amendments: some jurisdictions use addenda to supplement terms without changing the core text, while amendments modify existing provisions. In practice, the terms are sometimes used interchangeably; precise definitions depend on the governing law and the contracting parties' intent. A well-drafted adenda avoids internal contradictions with the original document.

Beyond contracts, addenda appear in standards, manuals, and publications to provide corrections, clarifications, or new information without reproducing entire documents. They should include a date, scope, and effective date, and be kept with the original document along with a clear version history. Proper administration prevents confusion and enforces that the addenda are enforceable as part of the original.
