Rechtssubjekt

Rechtssubjekt is a legal term that refers to any entity capable of possessing rights and incurring obligations under the law. This includes both natural persons, meaning individual human beings, and legal persons, which are artificial entities created by law. Natural persons automatically acquire legal personality at birth and lose it at death. Legal persons, such as corporations, associations, and foundations, are granted legal personality through registration or other legal means and cease to exist through formal dissolution.

The capacity of a Rechtssubjekt to act in the legal realm is referred to as its Handlungsfähigkeit, or legal capacity. This capacity is often further divided into Geschäftsfähigkeit, the ability to enter into binding contracts, and Deliktsfähigkeit, the ability to be held liable for wrongful acts. For natural persons, legal capacity develops with age and maturity, while for legal persons, it is exercised through their designated representatives.

The concept of Rechtssubjekt is fundamental to legal systems as it establishes who can participate in legal relationships, own property, sue and be sued, and be held accountable for their actions or omissions. Without this concept, the framework of rights and duties that underpins all legal interactions would be impossible to construct or enforce. The distinction between natural and legal persons allows for complex societal structures and economic activities to be organized and regulated effectively.
