Overdragelser

Overdragelser is a Norwegian term that describes the act of transferring rights or property from one party to another. The concept is used across civil and commercial law and covers a range of transfers, including real property, shares or ownership interests, licenses, contractual rights, and even debts. An overdragelse typically involves a formal agreement between the parties and, depending on the asset, additional steps to ensure the transfer is legally effective and enforceable against third parties.

In the transfer of real property (fast eiendom), the overdragelse is effected through a skjøte (deed) and requires tinglysing (registration) in the Grunnboken (the land register). This registration protects the transferee’s ownership and publicizes the change in ownership. Real property transfers usually require a written contract, payment of the agreed price, and compliance with applicable regulations, as well as any taxes or fees that may apply.

Other common forms include the transfer of shares or ownership interests in a company, which requires appropriate transfer documents and updating the share register and related records; the assignment of intellectual property rights, typically via a written assignment agreement; and the transfer of contractual rights through assignment or novation, often requiring consent from the other contracting party if the contract restricts assignment.

Formalities for overdragelser vary by jurisdiction and asset type. In general, an overdragelse ends or alters the previous holder’s rights and obligations, transferring them to the new holder according to the terms of the agreement and any applicable legal requirements.
