Konserneissa

Konserneissa is the Finnish term for activities within corporate groups. A konserni (corporate group) comprises a parent company and its subsidiaries, all operating under common control. Control is usually achieved by owning a majority of voting shares or by board appointment, and the parent typically has the power to direct strategy and major financial decisions.

In a konserni, individual companies maintain separate legal identities, but the group operates as a single economic entity. For financial reporting, consolidated statements are prepared to present the group’s overall assets, liabilities, income, and cash flows. Intra-group transactions and balances—such as intercompany sales, loans, and royalties—are eliminated in consolidation to avoid double counting.

Governance within a konserni often features centralized functions, such as treasury, accounting, and IT, managed at group level, while day-to-day operations may be decentralized to subsidiaries or regional units. The group may use intercompany transactions to allocate resources, manage funding, and optimize tax positions; such transactions are subject to transfer pricing rules to reflect arm’s-length prices.

Legal and regulatory considerations include corporate law governing control and governance, antitrust and competition oversight, and tax regimes that may permit or require consolidation or transparent reporting of group finances. Risks in konserne structures include complexity, potential contagion from one subsidiary to others, and regulatory scrutiny of cross-border arrangements.

Benefits commonly cited for konsernit include economies of scale, centralized governance, resource sharing, and strategic flexibility, balanced against higher administrative costs and governance challenges. The concept is widely used in Finland and in many other jurisdictions with group-based corporate structures.
