InnenAußenregelung refers to a concept in German law, particularly within contract law and administrative law, that governs the relationship between parties involved in a contractual agreement or a legal matter, and the consequences of that agreement or matter in relation to third parties. It essentially distinguishes between the internal legal position of the parties themselves (Innenverhältnis) and their external legal position concerning others (Außenverhältnis).

In the context of contracts, the Innenverhältnis describes the rights and obligations that arise directly between the contracting parties. For example, if two people enter into a partnership agreement, their internal agreement defines how they will share profits and losses, their responsibilities, and their management duties. The Außenverhältnis, on the other hand, concerns how these parties interact with individuals or entities outside of their direct contractual relationship. In the partnership example, the Außenverhältnis would dictate how the partnership, as a whole, is represented externally, how it enters into contracts with third parties, and the extent to which the individual partners are liable to those third parties.

This distinction is crucial for legal certainty and for defining liability. An agreement that is valid and binding between the internal parties might not necessarily be enforceable against a third party who was unaware of its specific terms. Conversely, actions taken by one party within the scope of their authority in the Außenverhältnis can bind the other internal party, even if it deviates from their internal agreements, provided the third party acted in good faith.
