Generalforsamling

A generalforsamling is the supreme decision-making body in many types of organizations, particularly in Denmark and other Scandinavian countries. The term translates literally to "general assembly" or "general meeting." It is a gathering of the members or shareholders of a company, association, or cooperative, where important decisions are made through voting.

The frequency and specific rules governing a generalforsamling are typically outlined in the organization's bylaws or articles of association. Common matters addressed at a generalforsamling include the approval of annual reports, the election of board members or a supervisory board, the appointment of auditors, decisions on dividends or profit distribution, and amendments to the organization's statutes. Extraordinary generalforsamlinger can be convened to address urgent matters that cannot wait for the regular annual meeting.

Participation in a generalforsamling is usually restricted to members or shareholders in good standing. Each member or shareholder typically has a certain number of votes, which can be based on factors like membership type, shareholding, or duration of membership. The quorum, or the minimum number of attendees required for the meeting to be valid, is also defined in the organization's rules. Resolutions passed at a generalforsamling are binding on the organization and its members.
