Einzelbetriebe, also known as Einzelunternehmen in German, are businesses operated by a single individual. The sole proprietor assumes full responsibility for the enterprise’s operations, profits, and losses. The business and the owner are not legally distinct entities, giving the owner unlimited personal liability for debts and obligations.

In Germany, Einzelbetriebe are regulated under the general commercial law (Handelsgesetzbuch, HGB) for GmbH-like activities and under the taxation code for smaller businesses. The formation process is straightforward: no registration fees or minimum capital are required, unlike more complex corporate forms. Registration with the local trade office (Gewerbeamt) and, if applicable, the tax office (Finanzamt) marks the legal existence of the enterprise. Sole proprietors may also register for trade registration (Handelsregister) if they exceed certain turnover thresholds.

Taxation of Einzelbetriebe follows the income‑tax rules applied to natural persons. Profits are added to the proprietor’s personal income and taxed accordingly. Depending on turnover, the enterprise may be subject to value‑added tax (VAT). The standard, simplified, or flat‑rate tax systems are available to reduce administrative burdens. In addition to income tax, self‑employed persons must pay social security contributions, potentially including health insurance and pension contributions.

Advantages of Einzelbetriebe include minimal bureaucracy, complete control, and lower startup costs. However, unlimited liability exposes personal assets to business risks. Moreover, access to external finance can be limited compared to corporate structures. Potential owners often opt for Sole Proprietorships during the exploratory or early growth phases of a venture before expanding into more protected legal entities.
